Required Disclosures

A. Definition. For purposes of this Policy, "Confidential Information" means any non-public, sensitive, or proprietary information disclosed by the Disclosing Party to the Recipient, including but not limited to:

1. Personal identification details, such as Social Security Numbers and dates of birth.
2. Bank account and credit card information.
3. Client names, contact details, and business information.
4. Pricing strategies, marketing strategies, and business plans.
5. Compensation data and employment-related information.
6. Any other information that the Disclosing Party designates as confidential or that the Recipient should reasonably understand to be confidential.

B. How We Use This Information. The information you provide will only be used for:

1. Delivering the services in your scope of work.
2. Communicating with you about your account and services.
3. Complying with applicable laws and regulations.

C. How we protect your information. We implement reasonable administrative, technical, and physical safeguards to protect the information you provide. However, no method of transmission over the internet or electronic storage is entirely secure, and we cannot guarantee absolute security.

D. Obligations of the Recipient. The Recipient agrees to:

1. Maintain the confidentiality of all Confidential Information disclosed under your engagement with Urban Books Inc.
2. Use Confidential Information solely for the purposes of fulfilling its obligations under the parties’ engagement.
3. Not disclose, share, or transmit Confidential Information to any third party without the prior written consent of the Disclosing Party, except as required by law.
4. Protect the Confidential Information with the same degree of care used to safeguard its own confidential information, but in no event less than reasonable care.

E. Exclusions from Confidential Information. The obligations of the Recipient do not extend to information that:

1. Is or becomes publicly available without breach of contract by Urban Books Inc.
2. Was known to the Recipient prior to disclosure, as evidenced by written records.
3. Is independently developed by the Recipient without reliance on the Disclosing Party’s Confidential Information.
4. Must be disclosed under applicable law, court order, or governmental regulation, provided that the Recipient gives prompt written notice to the Disclosing Party where legally permissible.

F. Return or Destruction of Confidential Information. Upon request of the Disclosing Party or upon termination of your engagement with Urban Books Inc., the Recipient shall promptly return or destroy all copies of the Confidential Information. Any copies retained for legal or compliance purposes will remain subject to this Agreement’s confidentiality obligations.

G. Your Rights. You have the right to:

1. Access the information we hold about you.
2. Request corrections to any inaccurate information.
3. Withdraw your consent for us to process your information, which may impact our ability to provide services.

H. Changes to This Privacy Policy. 

1. We reserve the right to update this Privacy Policy to reflect changes in our practices or applicable laws. We will notify you of any significant updates by email or other agreed-upon communication methods.
2. By engaging our services, you acknowledge that you have read, understood, and agreed to this Privacy Policy.

I. Remedies for Breach. The Recipient acknowledges that the unauthorized disclosure or misuse of Confidential Information may cause irreparable harm to the Disclosing Party. As such, the Disclosing Party is entitled to seek injunctive relief and any other remedies available under law or equity.

J. Authorization to Communicate By SMS Text. By engaging with or initiating text communications with Urban Books Inc., Client agrees to receive text messages from Urban Books Inc. at (603) 437-0770. Message frequency varies and will include requests for two-factor security codes, questions about transactions, and other urgent business matters. Message and data rates may apply. At any time, you may reply “Stop” or “Unsubscribe” to opt-out of these messages.
